BRIX TECHNOLOGIES INC., along with its affiliates, subsidiaries, and related entities (collectively “BRIX,” “we,” “our,” or “us”), is committed to protecting your privacy. This Privacy Policy (the “Policy”) explains why and how we collect, use, share, store, transfer, and protect (collectively, “Process,” “Processing,” and any conjugated form thereof) your personal information (“Personal Information”), as further detailed in the section “About this Policy”. The way we handle your Personal Information may evolve over time, and we will update this Policy periodically to reflect any changes in practices, as explained below.

BRIX is an online platform created by BRIX that enables users to collaborate, receive, and share information at work. The BRIX platform includes the BRIX mobile application you can download and install on your mobile phone (the “App”), the desktop application accessible via a web browser, integrations with third-party applications and APIs, and related services (collectively, the “Service” or our “Services”).

The Service is intended for use by organizations and, as instructed by them, is provided to you by your employer or another organization (collectively referred to as the “Organization”) that has authorized your access and use of the Service.

“You,” “your,” or “User” refers to a user of the Site or the Service, who may be an individual, an employer, an employee linked to an organization account, or any other user authorized to use the Service.

1. ABOUT THIS POLICY

This Policy explains why and how BRIX processes your Personal Information at the request of the Organization in connection with the Service and when you visit our website at https://brixapp.com/ (the “Site”). The Policy also describes why and how we process your Personal Information on behalf of the Organization, such as when we provide you with a pay stub.

The Policy also explains how we use cookies in relation to the Service and the Site. For more information, please refer to the section “How do we use cookies?”.

2. WHAT IS “PERSONAL INFORMATION”?

In this Policy, “Personal Information” means any information about an individual that, used alone or with other information, allows the identification of that person. Generally, Personal Information does not include professional contact information such as your name, title, business address, or your business phone number.

3. WHAT PERSONAL INFORMATION DO WE COLLECT?

We collect your Personal Information following instructions from your Organization when you use our Services or Site. Depending on the context, we process your Personal Information either on behalf of the Organization when using our Services or for our business purposes when you visit our Site, as specified below. The Personal Information we collect includes information you voluntarily provide to the Organization under your agreement with them (e.g., employment, service contract) or when you visit our Site.

3.1. Site Visitors

If you are a Site visitor, we may collect the following types of Personal Information:

  • Your contact information, collected on our Site if you fill out a contact form (e.g., your first and last name, address, email address, phone number, username and account password, if applicable, and any other contact information). Your contact information is collected on the Site to communicate with you.
  • Data automatically collected from your computer or mobile device, including non-personal information such as your operating system and browser type, your Internet Service Provider (ISP), and personal information such as your IP address, your browsing history on our Site, as well as referring and exit pages (pages you clicked to reach our Site and pages you clicked from our Site), the frequency with which you visit or use the Site, the pages you visit and when, which website, advertisement, or email messages were presented to you, and any information regarding your browsing history on our Site. 3.2. BRIX Service Users

If you use our Services, we may collect the following Personal Information according to your Organization’s instructions:

  • Your contact information, collected on the Service (e.g., your first and last name, address, email and phone number, username and account password, if applicable, and any other contact information).
  • Your date of birth.
  • Your professional information, for example, your professional email, business phone number, business address, and other information related to your work within the Organization.
  • Your financial information, for example, your pay stub or any information provided by your Organization that is necessary for your tax filings.
  • Your union.
  • Your certificates, courses, card or license necessary to work with your Organization.
  • Content, communications, and other information you provide when you use the Service, including when you create an account, create or share content, and send messages or communicate with others using the Service. This may include metadata about the content you create (e.g., location of a photo or file creation date).
  • Content, communications, and other information that others provide using our Services. This may include information about you, for example when they share or comment on a photo of you, send you a message, or upload, sync, or import your contact details.
  • All communications with other Users of the Services.
  • Information you provide when you or your Organization contact or request support from BRIX regarding the Service.
  • Your geolocation. When using specific features of our Services, you may be asked to share precise GPS-based location information from your mobile device. This location data may include physical places visited (latitude and longitude). The collection of such geolocation data is entirely determined by your Organization, at its sole discretion. If you do not wish to allow the collection of your precise location, you may disable this at any time in your mobile device's privacy settings and/or by adjusting the App’s permissions. Please note, however, that certain features of the App may not function properly if you disable this tracking, and we are not responsible for any implications of disabling geolocation tracking.
  • Data automatically collected from your computer or mobile device, including non-personal information such as your operating system and browser type, your Internet Service Provider (ISP), and personal information such as your IP address, your browsing history on our Services, referring and exit pages (the pages you clicked to reach our Services and the ones you clicked from our Service), the frequency with which you visit or use our Services, which pages you visit and when, advertisements or email messages shown to you, and any information about your viewing history on our Services. 4. HOW DO WE COLLECT YOUR PERSONAL INFORMATION?

We collect Personal Information that is provided or generated by your Organization when you access the Service.

We also collect your Personal Information from you on behalf of the Organization when you use the Service, visit our Site, or communicate with us.

In certain circumstances, we may also collect information from your mobile devices and/or computers (e.g., location data and IP address). For more information, please refer to the section “How do we use cookies?”.

5. WHY DO WE COLLECT YOUR PERSONAL INFORMATION?

5.1. For specific and limited purposes

BRIX collects your Personal Information according to your Organization’s instructions to :

  • Allow you to access the Site and the Service, respond to your requests and inquiries (or those of your Organization), contact you and communicate with you.
  • Prevent fraud, protect the security of the Site and Services, and resolve any issues related to the Site and the Service.
  • Provide you with newsletters and promotional materials related to our Service, including by email (the "Emails"). You may unsubscribe to stop receiving these Emails.
  • Create your User profile.
  • Allow your Organization to communicate with you and send messages through the App or via text message. If your Organization sends push notifications to your mobile phone, you can opt out by changing your phone settings.
  • Assist your Organization in complying with its legal obligations.

5.2. For secondary purposes

BRIX may also aggregate and encrypt the Personal Information you have provided to create statistical data. This statistical data is encrypted in such a way that individuals cannot be identified. BRIX may use statistical data for the purpose of:

  • Improving the Site and Services;
  • Reviewing User trends and interests, training machine learning algorithms, or sharing such statistics with third-party partners or the organization.

This statistical data does not include Users’ Personal Information.

6. WITH WHOM DO WE SHARE YOUR PERSONAL INFORMATION?

BRIX does not rent or sell any of your Personal Information to third parties and does not share it with third parties without your consent, unless required or permitted by law, or as necessary for the purposes described below.

6.1. With your Organization

BRIX shares your Personal Information with the Organization to which your account is linked. This includes, without limitation, situations where we are asked to share Personal Information regarding your use of the Service, your communications, your IP address, or geolocation (which you have consented to provide) that we have collected. Other Users of your Organization’s account may have access to certain of your Personal Information depending on the account settings established by your Organization.

6.2. With BRIX employees

As part of their work, our employees may need to access your Personal Information, for example, when you contact us or request assistance regarding our Services. Their access is limited to what is necessary for them to perform their duties.

6.3. With agents and third-party service providers

BRIX may engage third parties to facilitate its business operations and help make all features of its Site and Services available, or to provide customer support services, such as mobile messaging providers (SMS), customer relationship management platform providers, payment processors, and hosting service providers. In connection with these business activities, BRIX’s service providers may have access to your Personal Information to use it for a limited period as part of their business operations. When BRIX uses third parties to process any Personal Information, BRIX implements reasonable contractual and technical safeguards to ensure these third parties maintain the strict confidentiality of all Personal Information they process. Please note that such third parties may be located outside your jurisdiction, in which case BRIX takes appropriate steps as outlined below in the section “Where is your Personal Information stored and transferred?”

6.4. When required by applicable law

BRIX may also share your Personal Information if required by law or if it believes in good faith that such action is necessary to: (i) comply with the law; (ii) comply with an order from a competent judicial authority in any jurisdiction; (iii) comply with legal proceedings served on BRIX; (iv) protect and defend BRIX’s rights or intellectual property; (v) enforce or verify your compliance with any part of the agreements you may have entered into with BRIX, where applicable; (vi) prevent fraud or any other illegal activity conducted via the Service; or (vii) act in urgent circumstances to protect the personal safety of Users of the Service, the Site, or the general public.

6.5. During a business transfer

We may share your Personal Information without your authorization when required by our business operations (in the case of a merger, acquisition, bankruptcy, or asset sale, for example). As part of such an event, we may also share all or part of your Personal Information with the relevant third party (or their advisors) as part of a due diligence process.

6.6. For other purposes, with your consent

For any other reasons not listed above, BRIX will ensure it obtains your consent before sharing your Personal Information.

7. HOW LONG DO WE KEEP YOUR PERSONAL INFORMATION?

BRIX will keep your Personal Information only as long as necessary to fulfill the purposes for which it was collected according to the Organization’s instructions, or to comply with applicable legal, tax, or regulatory requirements. After this period, all Personal Information held by BRIX will be destroyed or anonymized. 8. HOW DO WE PROTECT YOUR PERSONAL INFORMATION?

8.1. With necessary and appropriate security measures.

We have implemented and maintain appropriate technical and organizational security measures, policies, and procedures designed to reduce the risk of accidental destruction or loss, disclosure, or unauthorized access to Personal Information, depending on the nature of such data. The measures we take include:

  • Protection measures – Physical, electronic, and procedural safeguards we use to protect your Personal Information include secure servers, firewalls, antivirus software, and SSL/TLS encryption of data and communications.
  • Access control – We strictly manage system access and limit it to authorized personnel on a need-to-know basis according to their job functions. We maintain a list of individuals with access authorization to your Personal Information, which is reviewed at least once a year. We immediately revoke access when an employee’s contract ends.
  • Internal policies – We maintain, review, and regularly update our privacy, information security, and Personal Information protection policies.
  • Non-disclosure agreement – We require all new employees to sign non-disclosure agreements in accordance with applicable legislation and industry practices.
  • Encryption – We encrypt data in transit using secure TLS/SSL protocols.

Although we strive to use the most secure and appropriate measures to protect your Personal Information, we cannot guarantee that our Site and Service will be safe from malfunctions, interceptions, illegal access, hacking attempts, cyberattacks, or any other forms of misuse or abuse.

Since the security of information depends in part on the security of the computer you use to communicate with us and the protection you apply to your credentials and passwords, please take appropriate steps to protect this information.

If you believe an unauthorized account has been created in your name or that unauthorized access has been made to your account, please notify us as soon as possible by following the instructions in the section “How to contact us?”.

9. MINORS’ PRIVACY

BRIX does not target minors and, more specifically, BRIX does not knowingly collect Personal Information from minors. However, if the Organization has minor Users, it is the Organization’s responsibility to obtain parental or guardian consent in accordance with applicable laws and regulations in the User’s region.

10. HOW DO WE USE COOKIES?

A cookie is a small text file stored in a designated location on your computer, mobile device, tablet, or any other device when you use your browser to visit an online service. Other tracking technologies, such as web beacons and tracking pixels, may be used for similar purposes. In this Policy, all such tracking technologies are collectively referred to as “Cookies.” Any Personal Information collected using Cookies by BRIX according to the Organization’s instructions is processed with the same level of confidentiality as any other Personal Information held by BRIX.

10.1. Strictly necessary Cookies

Functional Cookies: These Cookies enable enhanced functionality and personalization on the Site and Service. If you consent, functional Cookies allow the Site and Service to remember your preferences and choices, including your username, region, and language.

Analytics Cookies: We may use analytics Cookies to understand traffic patterns on the Site and Service, help measure and improve the effectiveness of the App, the Site, and the Messages, and determine if those messages were opened and links were clicked. These Cookies are used for statistical purposes only. The information collected by these Cookies is aggregated and anonymized. To opt out of being tracked by Google Analytics, visit http://tools.google.com/dlpage/gaoptout. You can also opt out of analytics Cookies by following the instructions below in “How to manage cookies?”.

Tracking Cookies: If you have consented, we may use Tracking Cookies to collect information about your use of the Site and Service. This information is used to provide you with personalized content when using the Site and Service. You may refuse the use of Tracking Cookies by following the instructions below in the next section.

10.3. How to manage cookies?

Except for strictly necessary Cookies, we will only place Cookies on your devices if you consent.

Cookies can be managed and/or disabled through your browser’s cookie settings.

11. WHERE IS YOUR PERSONAL INFORMATION STORED AND TRANSFERRED?

BRIX is committed to protecting your Personal Information. BRIX may store your Personal Information in locations other than your province, state, or country of residence (“Elsewhere”). BRIX may also use contractors, cloud storage providers, consultants, or any other subcontractors (“Subcontractors”) to process or share your Personal Information with third parties located Elsewhere. In such cases, BRIX will ensure your Personal Information is transferred to countries that are subject to personal data protection laws and that your Personal Information is adequately protected by appropriate technical, organizational, contractual, or other legal means. Where our Subcontractors have access to your Personal Information, BRIX ensures that these Subcontractors comply with the highest privacy and cybersecurity standards, such as holding security certifications like ISO 27001, SOC 2, etc. If you would like more information about these security measures, please contact BRIX as indicated in the “How to contact us?” section.

12. WHAT ARE YOUR RIGHTS?

12.1. Access and rectification of your Personal Information

It is important that the Personal Information we hold about you on behalf of your Organization is accurate and up to date. Please inform your Organization of any changes to your Personal Information. Under the law, you have the right to request access to the Personal Information BRIX holds about you for your Organization and to request rectification in case of error, if applicable.

If you wish to review, verify, rectify, or withdraw your consent to the use of your Personal Information, you may email your Organization to request access to or rectify of any Personal Information about you.

BRIX may request specific information from your Organization in order to verify your identity and your right of access. This enables us to provide you with the Personal Information we hold about you or to make the requested changes. Applicable laws may allow or require us to refuse to give you access to all or part of the Personal Information we hold about you. We may also have destroyed, deleted, or anonymized your Personal Information in accordance with our legal and record retention obligations. If we cannot provide you with access to your Personal Information, we will inform you, subject to legal or regulatory restrictions.

12.2. Withdrawal of Consent

Where you have given your consent to the collection, use, and transfer of your Personal Information, you have the legal right to withdraw your consent, subject to legal exceptions. To withdraw your consent to the collection, use, and transfer of your Personal Information, contact the Organization that granted you access to our Services. Please note that if you withdraw your consent, we may not be able to provide you or your Organization with our Services.

13. HOW TO FILE A COMPLAINT?

Anyone wishing to file a complaint regarding this Policy or the protection of your Personal Information must do so in writing to the contact details provided in the “How to contact us?” section.

You must provide your name, contact information, the name of your Organization (if applicable), a phone number, and the subject and reasons for your complaint with sufficient detail for BRIX to assess the complaint. If the complaint is not specific enough, BRIX may request any additional information it deems necessary to assess the complaint.

Your request may be accepted or denied by BRIX or the Organization depending on applicable laws. BRIX will promptly take corrective measures when it becomes aware of any violation of this Policy. BRIX will not be liable for indirect, incidental, consequential, or punitive damages related to this Policy.

15. CHANGES TO THIS POLICY

BRIX may amend its Privacy Policy from time to time on its website, based on changes to its business, Services, or legal requirements. Any revision to the Privacy Policy will be effective on the date BRIX publishes the changes. Users can consult the latest version of the Privacy Policy at any time by visiting this page: https://brixapp.com/en/privacy-policy. BRIX will inform Users if changes are made to the Privacy Policy by displaying a notice upon their next login to the Services. Users will be required to read and accept the new Privacy Policy before they can continue to access the Services.
